Terms and Conditions

Recipe Curator - Service Agreement

This Services Agreement ("Agreement") is entered into between Affinity Ventures, dba "Recipe Curator" ("Company," "we," or "us") and the food retailer subscribing to our services ("Client," "you," or "your"). By subscribing to our services, you agree to be bound by these terms and conditions.

1. Service Description

1.1 Recipe Curation Services

We provide curated recipe content for food retailers. Our service includes the selection, preparation, formatting, and implementation of recipes that feature your products through embedded links.

1.2 Service Tiers

Services are provided according to the tier selected by the Client:

  • Basic Package: One (1) recipe per month, provided digitally for you to add to your recipe collection and including:

    • Title​

    • Description

    • Yield

    • Time

    • Ingredients

    • Instructions

    • Photograph

  • Enterprise Solutions: We are delighted to expand the service to offer more recipes, more links, more images and will negotiate to find a mutually agreeable price. 

  • Technology Solutions: If you prefer to have us act as administrators of your blog/site and input the recipes, checking that they meet Google formatting needs and delight your visitors, we are expert at doing so, 

 
1.3 Delivery Timeline
  • Initial recipe delivery occurs within seven (7) business days of completed onboarding

  • Subsequent recipes are delivered according to the agreed content calendar

 
1.4 Recipe Specifications

All recipes include:

  • Tested recipe content with clear instructions

  • Professional food photography

  • Minimum of one (1) product link to a product on your site

  • Content provider may also leave links to originating site, where it does not compete with your products

  • Link to source

 

2. Subscription Terms

2.1 Billing Cycle
  • Services are billed monthly in advance

  • Payment is automated and recurring

 
2.2 Term and Renewal
  • Services are provided on a month-to-month basis

  • Service automatically renews each month until canceled

  • No long-term contract is required unless specifically negotiated for Enterprise and Technology clients

 
2.3 Cancellation
  • Client may cancel service at any time by providing written notice

  • Cancellation becomes effective at the end of the current billing cycle

  • No partial refunds are provided for unused portions of the current billing cycle

  • Client retains access to previously published recipes after cancellation

 
2.4 Refund Policy
  • If Company fails to deliver the promised recipe(s) within the specified timeline, Client is entitled to a full refund for that month

  • Refunds are not provided for subjective dissatisfaction with recipe selections. Alternatives will be provided on request

 

3. Content Ownership and Usage Rights

3.1 Recipe Ownership
  • Recipes remain the intellectual property of their original creators

  • Company maintains proper licensing for all recipes in our network

 
3.2 License to Client
  • Client receives a non-exclusive license to use provided recipes on their website, social media, and marketing materials

  • License remains valid as long as Client's subscription is active

  • Client may continue using previously published recipes after cancellation

  • Enterprise and technology solutions may have different terms as specified in custom agreements

 
3.3 Usage Restrictions

Client may not:

  • Claim ownership of recipe content

  • Sublicense or sell recipes to third parties

  • Remove attribution to original content creators

  • Modify recipes without prior approval

 
3.4 Photography Usage
  • Food photography is licensed for use on Client's website and social media

  • Additional usage rights (print, advertising) may require additional licensing fees

 

4. Royalty Structure

4.1 Content Creator Royalties
  • Original recipe creators receive royalties for each month their content is used, paid by Company

  • Royalty rates are determined by Affinity Ventures based on recipe complexity and exclusivity

 
4.2 Client Participation in Royalty Program
  • Clients may submit their original recipes to our network

  • Client-submitted recipes that meet our quality standards may be included in our catalog

  • Clients earn royalties when their submitted recipes are used by other retailers in our network

 
4.3 Royalty Payments
  • Royalty payments are processed quarterly

  • Minimum payment threshold is $25

  • Detailed royalty reports are provided with each payment

 

5. Content Specifications and Requirements

5.1 Recipe Standards

All recipes in our network will:

  • Be kitchen-tested for accuracy

  • Include complete ingredient lists and clear instructions

  • Meet food safety guidelines

  • Be original or properly licensed

 
5.2 Link Implementation
  • Links will be relevant to the recipe ingredients or equipment

  • Link text will be naturally integrated into recipe content

 

6. Modification Requests

6.1 Recipe Alternatives
  • Client may request alternative recipes if proposed recipes do not align with their needs

  • One (1) alternative recipe proposal is included at no additional cost

  • Additional alternatives may incur supplemental fees

 
6.2 Recipe Modifications
  • Minor modifications to recipes (ingredient substitutions, method clarifications) are included

  • Substantial modifications are considered new recipes and may incur additional fees

  • All modifications must be requested within three (3) business days of initial recipe delivery

 

7. Liability Limitations

7.1 Recipe Accuracy
  • While all recipes are tested, Company does not guarantee consumer results

  • Client should review all recipes for alignment with their brand standards

  • Company is not responsible for variations in consumer preparation

 
7.2 Food Safety Notice
  • Recipes include standard food safety guidance where appropriate

  • Company assumes no liability for improper food handling or preparation by consumers

  • Client should ensure all linked products meet applicable safety standards

 
7.3 Limitation of Liability
  • Company's total liability under this Agreement shall not exceed the amount paid by Client for three (3) months of services

  • Company is not liable for indirect, consequential, or special damages

 

8. Privacy and Data Handling

8.1 Client Data
  • Company collects and stores Client business information solely for service provision

  • Client data is never sold to third parties

  • Company implements industry-standard security measures to protect Client data

 
8.2 Consumer Data
  • Company does not collect consumer data directly

  • Any consumer data shared by Client for service optimization is handled according to Client's privacy policy

  • Company recommends Client maintain appropriate disclosures regarding recipe content

9. Modifications to Terms

9.1 Updates to Agreement
  • Company reserves the right to modify these terms with thirty (30) days' notice

  • Material changes to terms require Client consent for continued service

  • Current terms are always available here

 

10. Governing Law and Dispute Resolution

10.1 Governing Law

This Agreement is governed by the laws of Oregon, without regard to conflicts of law principles.

 
10.2 Dispute Resolution

Any disputes arising from this Agreement shall be resolved through:

  1. Good faith negotiation between parties

  2. Mediation if negotiation fails

  3. Binding arbitration as a last resort
